You must be at least 18 years old and have legal capacity to enter binding agreements to submit a property for transaction consideration.
If you act on behalf of a company, partnership, trust, estate, or another entity, you represent that you have authority to act for that entity.
5. PROPERTY SUBMISSIONS
When you submit information concerning real property, you represent that the information is accurate to the best of your knowledge and that you are authorized to provide it.
Submission of a property does not:
- Require you to sell;
- Require TUNGSTEN-OAK to buy;
- Create a listing agreement;
- Create an agency relationship;
- Establish an agreed purchase price;
- Guarantee an offer;
- Guarantee financing; or
- Create a binding real-estate transaction.
TUNGSTEN-OAK may independently research, verify, supplement, or analyze submitted information.
6. PROPERTY LINKS
If you provide a property listing, MLS link, marketing page, shared document, public-record link, cloud document, photograph, disclosure, or similar source, you authorize TUNGSTEN-OAK to review information reasonably available through that source for purposes of evaluating the opportunity.
We may rely on that information as part of our preliminary analysis, subject to verification.
7. PROPERTY REVIEWS AND ESTIMATES
Any preliminary:
- Property value;
- Comparable-sale analysis;
- Repair estimate;
- After-repair value;
- Rental estimate;
- Market analysis;
- Financing scenario;
- Offer range;
- Maximum allowable offer;
- Return calculation;
- Projected resale value; or
- Underwriting analysis
is an estimate for evaluation purposes unless expressly incorporated into an executed agreement.
Such analysis is not a licensed appraisal, property inspection, engineering report, environmental report, title opinion, legal opinion, or guarantee of future value.
Market conditions, property conditions, financing, repairs, title issues, closing costs, taxes, insurance, regulations, and other factors may materially affect actual results.
8. NO BINDING OFFER THROUGH WEBSITE
A property submission, preliminary analysis, email, text message, telephone conversation, property-review result, indication of interest, preliminary pricing discussion, draft document, or other informal communication does not by itself create a binding obligation to purchase or sell real estate.
A real-estate transaction becomes binding only as provided by an applicable executed agreement and governing law.
9. DUE DILIGENCE AND APPROVAL
A proposed transaction may be subject to:
- Property inspection;
- Property access;
- Market verification;
- Comparable-sale review;
- Repair verification;
- Title review;
- Lien review;
- Financing;
- Contractor review;
- Internal underwriting;
- Internal authority requirements;
- Seller documentation;
- Buyer documentation;
- Legal compliance;
- Closing conditions; and
- Other transaction-specific due diligence.
10. TRANSACTION STRUCTURES
Depending upon the property, circumstances, jurisdiction, and agreement of the parties, TUNGSTEN-OAK may evaluate lawful transaction structures including:
- Direct purchase;
- Cash acquisition;
- Financed acquisition;
- Wholesale transaction;
- Assignment of contractual interest;
- Joint venture;
- Novation where legally appropriate;
- Seller financing;
- Subject-to-existing-financing structures;
- Lease-option arrangements;
- Options;
- Portfolio acquisition;
- Private financing where legally permitted; and
- Other lawful real-estate structures.
Not every transaction structure is available in every jurisdiction or for every property.
Required transaction-specific disclosures will be provided where applicable law requires them.
11. WHOLESALE AND ASSIGNMENT DISCLOSURE
TUNGSTEN-OAK may acquire contractual or equitable interests in real property and may, where lawful and appropriate, assign or otherwise transfer those contractual interests.
If applicable law requires disclosure of TUNGSTEN-OAK's status as a principal, contract purchaser, wholesaler, holder of an equitable interest, assignor, or similar capacity, the applicable transaction documentation will control.
Nothing on the website itself constitutes an offer to broker real estate for another person.
12. NO BROKERAGE RELATIONSHIP
Unless separately established in writing by an appropriately licensed party where required by law, no use of the website creates:
- A broker-client relationship;
- An agent-principal relationship;
- A fiduciary relationship;
- A listing agreement; or
- A buyer-representation agreement.
Property owners remain free to obtain independent representation from a licensed real-estate professional.
13. REAL-ESTATE AGENTS AND BROKERS
TUNGSTEN-OAK welcomes legitimate opportunities submitted by licensed real-estate professionals.
Submission of a property by an agent or broker does not by itself establish an obligation by TUNGSTEN-OAK to pay a commission, referral fee, brokerage fee, or other compensation.
Any compensation must be established through an applicable written agreement and comply with applicable law.
14. INDEPENDENT PROFESSIONAL ADVICE
Real-estate transactions may involve significant legal, tax, financial, title, financing, and property-condition consequences.
You should consult independent professionals as you consider appropriate, including:
- Attorneys;
- Certified public accountants;
- Tax professionals;
- Licensed real-estate professionals;
- Appraisers;
- Inspectors;
- Engineers; and
- Financial professionals.
TUNGSTEN-OAK does not provide professional advice merely by evaluating or purchasing a property.
15. ARTIFICIAL INTELLIGENCE AND AUTOMATED SYSTEMS
TUNGSTEN-OAK may use artificial intelligence and automated technology to assist with:
- Seller intake;
- Property-information extraction;
- Public-record research;
- Comparable-property review;
- Preliminary underwriting;
- Market analysis;
- Document organization;
- Communication management;
- Data standardization;
- Workflow routing; and
- Internal decision support.
Automated outputs may contain errors.
Material transaction decisions remain subject to applicable company authority, human review where required by company policy, and executed transaction documentation.
16. COMMUNICATIONS
When you voluntarily provide contact information, you authorize TUNGSTEN-OAK to respond concerning your inquiry, submitted property, transaction, or business relationship.
Marketing calls or automated texts will be handled subject to applicable consent requirements.
If you expressly consent to marketing text messages:
- Message frequency may vary;
- Message and data rates may apply;
- Reply STOP to opt out; and
- Reply HELP for assistance.
Consent to receive marketing text messages is not a condition of doing business with TUNGSTEN-OAK.
17. ELECTRONIC COMMUNICATIONS
You consent to receiving legally permissible communications electronically.
Electronic communications may satisfy legal requirements that a communication be in writing where applicable law permits.
This provision does not transform an unsigned real-estate contract into a binding agreement where execution is otherwise required.
18. ACCEPTABLE USE
You may not:
- Use the website unlawfully;
- Submit knowingly fraudulent information;
- Impersonate another person;
- Interfere with website operation;

TUNGSTEN-OAK, L.L.C., the TUNGSTEN-OAK brand identity, and associated marks may not be reproduced or used without authorization.
We grant website visitors a limited, revocable, non-exclusive, non-transferable right to use the website for legitimate purposes associated with interacting with TUNGSTEN-OAK.
No ownership interest is transferred.
20. MATERIALS YOU PROVIDE

- Evaluate the property;
- Process your inquiry;
- Conduct due diligence;
- Communicate with transaction participants;
- Structure a potential transaction;

TUNGSTEN-OAK does not control and is not responsible for the accuracy, privacy, security, availability, or content of third-party resources.
23. NO SECURITIES OFFERING
Information on the public website concerning TUNGSTEN-OAK's business strategy, investments, portfolio goals, lending activities, capital strategy, or growth plans is provided for general informational purposes.
Unless expressly stated through separate offering documentation, website content does not constitute:
- An offer to sell securities;
- A solicitation to purchase securities;
- An investment recommendation;
- Investment advice; or
- A guarantee of investment performance.
Any investment relationship that implicates federal or state securities laws must be governed by appropriate separate documentation.
24. WEBSITE AVAILABILITY
TUNGSTEN-OAK may modify, update, suspend, restrict, or discontinue any portion of the website.
We do not guarantee uninterrupted or error-free operation.
25. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND WEBSITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TUNGSTEN-OAK DISCLAIMS EXPRESS OR IMPLIED WARRANTIES CONCERNING THE PUBLIC WEBSITE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY.
WE DO NOT WARRANT THAT WEBSITE CONTENT WILL ALWAYS BE COMPLETE, CURRENT, ACCURATE, SECURE, OR ERROR-FREE.
NOTHING IN THESE TERMS DISCLAIMS AN OBLIGATION THAT CANNOT LAWFULLY BE DISCLAIMED.
26. REAL-ESTATE RISK DISCLOSURE
Real-estate transactions involve risk.
Property values, interest rates, market conditions, financing availability, repair costs, title matters, legal requirements, taxes, insurance, holding costs, and buyer demand can change.
Past transactions, examples, projected values, testimonials, or historical performance do not guarantee future results.
27. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TUNGSTEN-OAK AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING SOLELY FROM USE OF THE PUBLIC WEBSITE.
THIS MAY INCLUDE LOST PROFITS, LOST BUSINESS OPPORTUNITY, LOST DATA, OR LOSS OF GOODWILL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TUNGSTEN-OAK'S AGGREGATE LIABILITY ARISING SOLELY FROM USE OF THE PUBLIC WEBSITE WILL NOT EXCEED THE GREATER OF:
(A) $100; OR (B) THE AMOUNT, IF ANY, PAID SPECIFICALLY FOR ACCESS TO THE PUBLIC WEBSITE DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
This provision does not alter liabilities or remedies established by a separately executed purchase agreement, financing agreement, assignment agreement, joint-venture agreement, or other transaction-specific agreement.
28. INDEMNIFICATION
To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless TUNGSTEN-OAK and its members, managers, officers, employees, affiliates, contractors, and agents from third-party claims arising from:
- Your unlawful misuse of the website;
- Your intentional submission of fraudulent information;
- Your violation of another person's rights;
- Your material violation of these Terms; or
- Your violation of applicable law.
This section does not require indemnification for liability that applicable law prohibits TUNGSTEN-OAK from transferring.
29. PRIVACY
Use of the website is subject to the TUNGSTEN-OAK Privacy Policy, which is incorporated into these Terms.
30. INFORMAL DISPUTE RESOLUTION
Before commencing formal proceedings arising solely from these Terms or public website use, you and TUNGSTEN-OAK agree to make a reasonable good-faith effort to resolve the dispute informally.
Notice may be sent to:
TUNGSTEN-OAK, L.L.C. Attn: Legal 2232 Dell Range Blvd Suite 303-1750 Cheyenne, WY 82009
Email: support@tungsten-oak.com
Unless immediate relief is reasonably necessary, the parties should allow at least 30 days after written notice for informal resolution.
31. ARBITRATION AND CLASS ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS LEGAL RIGHTS. TUNGSTEN-OAK SHOULD HAVE THIS SECTION REVIEWED BY WYOMING COUNSEL BEFORE PRODUCTION DEPLOYMENT.
Except where prohibited by law, and excluding qualifying small-claims proceedings and appropriate claims for temporary or preliminary injunctive relief, a dispute arising solely from these Terms or use of the public website that cannot be resolved informally will be resolved through individual binding arbitration administered by the American Arbitration Association (“AAA”) under the rules applicable to the dispute.
The arbitration will be heard by one neutral arbitrator.
Unless applicable law requires otherwise or the parties agree to remote proceedings, arbitration will take place in Laramie County, Wyoming.
The Federal Arbitration Act will govern the interpretation and enforcement of this arbitration provision to the extent applicable.
YOU AND TUNGSTEN-OAK AGREE THAT COVERED DISPUTES WILL BE PURSUED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE ACTION.
For claims required to be arbitrated, each party waives the right to trial by jury.
Nothing in this website arbitration provision overrides a different dispute-resolution provision contained in an executed purchase agreement, financing agreement, assignment agreement, joint-venture agreement, or other transaction-specific contract.
If a particular portion of this arbitration provision is found unenforceable, the remaining provisions will continue to the maximum extent permitted by law.
32. GOVERNING LAW
These Terms and matters concerning use of the public website will be governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except where federal law or another mandatory law applies.
For disputes properly excluded from arbitration, the parties consent, to the extent legally permitted, to jurisdiction and venue in the appropriate state courts located in Laramie County, Wyoming, or the appropriate federal court serving Wyoming.
33. TRANSACTION-SPECIFIC AGREEMENTS CONTROL
These Terms govern the public website.
They do not replace or alter an executed:
- Purchase and Sale Agreement;
- Assignment Agreement;
- Joint-Venture Agreement;
- Financing Agreement;
- Promissory Note;
- Security Instrument;
- Confidentiality Agreement;
- Contractor Agreement;
- Investment Agreement;
- Employment Agreement;
- Vendor Agreement; or
- Other separately executed contract.
If there is a conflict concerning a particular transaction, the applicable executed transaction agreement controls that transaction.
34. TERMINATION OF WEBSITE ACCESS
TUNGSTEN-OAK may restrict access to the website where we reasonably determine that a user has:
- Violated these Terms;
- Engaged in unlawful conduct;
- Threatened website security;
- Attempted unauthorized access; or
- Materially interfered with website operation.
35. FORCE MAJEURE
TUNGSTEN-OAK will not be responsible for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, governmental action, utility outages, Internet outages, telecommunications failures, cybersecurity incidents, labor disruption, or third-party infrastructure failures.
36. NO WAIVER
Failure to enforce a provision does not waive the right to enforce that or another provision later.
37. SEVERABILITY
If a provision of these Terms is found unenforceable, it will be modified or severed only to the extent necessary, and the remaining provisions will continue in effect.
38. ASSIGNMENT
TUNGSTEN-OAK may assign these Terms in connection with an affiliate restructuring, merger, acquisition, financing, sale of assets, or similar business transaction.
You may not assign rights arising solely under these Terms without our written consent where legally permissible.
39. CHANGES TO THESE TERMS
TUNGSTEN-OAK may update these Terms as our business, website, technology, or legal obligations change.
The “Last Updated” date indicates the most recent revision.
Continued website use after revised Terms become effective constitutes acceptance to the extent permitted by law.
40. ENTIRE WEBSITE AGREEMENT
These Terms and the Privacy Policy constitute the agreement concerning use of TUNGSTEN-OAK's public website.
They do not supersede separate executed transaction agreements.
