2. OUR ROLE MAY VARY
The role of TUNGSTEN-OAK depends upon the specific opportunity and transaction.
Depending on the circumstances and applicable law, TUNGSTEN-OAK or an affiliated, subsidiary, special-purpose, or designated transaction entity may act as a:
- Prospective principal buyer;
- Real-estate investor;
- Contract purchaser;
- Property owner or seller;
- Assignor or assignee of a contractual interest;
- Joint-venture participant;
- Financing party where legally permitted;
- Referral source;
- Transaction participant; or
- Other principal acting for its own account.
Our specific role in a transaction should be determined from the applicable written transaction documents.
Unless expressly stated otherwise in a separate written agreement, TUNGSTEN-OAK is acting for its own business and economic interests and is not representing the property owner.
3. WE ARE NOT AUTOMATICALLY YOUR REPRESENTATIVE
Unless expressly established through a separate written agreement and appropriate licensing where required, TUNGSTEN-OAK is not acting as your:
- Real-estate broker;
- Real-estate agent;
- Attorney;
- Accountant;
- Tax adviser;
- Financial adviser;
- Investment adviser;
- Mortgage broker;
- Loan originator;
- Appraiser;
- Property inspector;
- Engineer;
- Contractor; or
- Fiduciary.
Communications with TUNGSTEN-OAK should not be interpreted as establishing an agency, brokerage, fiduciary, attorney-client, advisory, or other professional relationship.
TUNGSTEN-OAK may negotiate for its own benefit when acting as a principal buyer or investor.
4. YOU MAY SEEK INDEPENDENT REPRESENTATION
Property owners are encouraged to make their own informed decisions and may obtain independent advice before entering into a transaction.
Depending on your circumstances, you may wish to consult:
- An attorney;
- A certified public accountant;
- A tax professional;
- A licensed real-estate broker or agent;
- A financial professional;
- A licensed appraiser;
- A property inspector;
- An engineer;
- A contractor;
- A title or escrow professional; or
- Another qualified adviser.
You are free to obtain an independent property valuation, seek competing offers, compare transaction structures, negotiate proposed terms, or decline a TUNGSTEN-OAK proposal.
Unless an executed agreement provides otherwise, requesting a property review does not obligate you to transact with TUNGSTEN-OAK.
5. TUNGSTEN-OAK MAY HAVE AN ECONOMIC INTEREST DIFFERENT FROM YOURS
When TUNGSTEN-OAK acts as a buyer, investor, contract purchaser, assignor, assignee, joint-venture participant, lender, property owner, or other principal, our economic interests may differ from yours.
For example, a property owner may seek the highest possible sale price, while TUNGSTEN-OAK may seek to acquire an interest at a price and on terms that permit the Company to earn a profit or achieve another investment objective.
You should evaluate any proposal based on your own objectives and circumstances.
6. TUNGSTEN-OAK MAY EARN A PROFIT OR OTHER ECONOMIC BENEFIT
TUNGSTEN-OAK is a for-profit business.
Where lawful and appropriately disclosed, TUNGSTEN-OAK or another transaction participant may receive an economic benefit through activities such as:
- Purchasing property below a subsequent resale price;
- Improving and reselling property;
- Assigning a contractual interest;
- Selling or transferring an equitable or ownership interest;
- Participating in a joint venture;
- Receiving contractual consideration;
- Earning financing or investment returns;
- Receiving a lawful referral fee through an appropriate arrangement;
- Receiving compensation through an appropriately licensed professional or entity; or
- Other lawful transaction structures.
The amount of any profit or economic benefit may not be known when initial discussions occur and may vary substantially based upon the ultimate transaction.
Unless applicable law or the governing agreement requires otherwise, TUNGSTEN-OAK is not required to structure its potential profit as a commission or disclose its internal investment margin merely because it acts as a principal purchaser.
Required transaction-specific compensation or wholesaling disclosures will be provided where applicable.
7. NO GUARANTEED OFFER
Submitting a property through our website, speaking with our team, providing documents, sending a property link, or requesting a property review does not guarantee that TUNGSTEN-OAK will make an offer.
TUNGSTEN-OAK may choose not to pursue a property or may discontinue evaluation where permitted by applicable law and any governing agreement.
8. NO GUARANTEED VALUE
Any preliminary value, after-repair value, comparable-sale analysis, estimated repair cost, rental estimate, market analysis, offer range, maximum allowable offer, projected resale value, financing estimate, or similar calculation is provided for evaluation purposes only unless expressly incorporated into an executed written agreement.
Such information does not constitute a licensed appraisal or guarantee of market value.
Actual value can be affected by many factors, including:
- Property condition;
- Location;
- Market changes;
- Comparable sales;
- Interest rates;
- Buyer demand;
- Zoning;
- Title matters;
- Repairs;
- Occupancy;
- Insurance;
- Taxes;
- Financing availability; and
- Other property-specific circumstances.
Property owners may obtain an independent appraisal or valuation.
9. NO GUARANTEED CLOSING OR TRANSACTION OUTCOME
Preliminary discussions do not guarantee:
- Purchase approval;
- Financing approval;
- A specific purchase price;
- A specific closing date;
- A specific amount of net proceeds;
- A particular transaction structure; or
- Completion of a transaction.
A proposed transaction may depend upon matters including:
- Property condition;
- Inspection;
- Property access;
- Title;
- Ownership verification;
- Liens or encumbrances;
- Taxes;
- Judgments;
- Occupancy;
- Existing leases;
- Existing financing;
- Market conditions;
- Insurance;
- Repairs;
- Financing;
- Internal underwriting;
- Verification of information;
- Required documentation;
- Company authority and approval;
- Applicable law; and
- Other due-diligence or closing requirements.
Once the parties execute a binding agreement, their respective rights and obligations are governed by that agreement and applicable law.
10. TUNGSTEN-OAK MAY VERIFY PROPERTY INFORMATION
Information supplied by a property owner, agent, broker, buyer, or other person may be independently researched or verified.
TUNGSTEN-OAK may use:
- Public records;
- County assessor information;
- Recorder records;
- Property-tax records;
- Listing information;
- Real-estate databases;
- Comparable-sale information;
- Market information;
- Property-data providers;
- Contractors;
- Inspectors;
- Title companies;
- Mapping services;
- Photographs;
- Property links; and
- Other lawful sources.
Providing us with a property or listing link authorizes us to review information reasonably available through that source for purposes of evaluating the opportunity.
11. DIRECT ACQUISITIONS
TUNGSTEN-OAK may purchase real property directly for its own account or through an affiliated or designated transaction entity.
When acting as a principal buyer, TUNGSTEN-OAK may purchase property for purposes that include:
- Resale;
- Renovation;
- Rental;
- Long-term ownership;
- Portfolio development;
- Assignment;
- Joint venture;
- Financing;
- Redevelopment; or
- Another lawful investment strategy.
Unless specifically agreed otherwise, TUNGSTEN-OAK does not represent that the price it offers is the property's maximum possible market value.
A direct-sale transaction may provide different economic or practical benefits than listing a property on the open market, and a seller should determine which approach is appropriate for the seller's objectives.
12. WHOLESALE TRANSACTIONS AND ASSIGNMENTS
TUNGSTEN-OAK may enter into purchase agreements with the intent to acquire property itself, assign its contractual interest, or otherwise transfer an interest where permitted by the agreement and applicable law.
Where legally permitted, TUNGSTEN-OAK may receive compensation or profit from such an assignment or transfer.
When TUNGSTEN-OAK holds a contractual or equitable interest and markets that interest, it is acting with respect to its own interest and not representing the property owner as a real-estate broker merely by reason of that activity, subject always to applicable state law.
Some states impose specific registration, licensing, advertising, disclosure, contract-language, cancellation-right, or other requirements on wholesale real-estate transactions.
TUNGSTEN-OAK will apply transaction-specific procedures and disclosures where required by the jurisdiction in which a property is located.
Nothing on this website should be interpreted as authorizing activity prohibited by applicable real-estate licensing law.
13. ASSIGNMENT IS NOT GUARANTEED
Even when a purchase agreement permits assignment, TUNGSTEN-OAK is not representing that:
- The agreement will necessarily be assigned;
- A third-party buyer will be located;
- An assignment fee will necessarily be earned; or
- Assignment will necessarily be the ultimate exit strategy.
TUNGSTEN-OAK may instead elect to close directly, pursue another permitted structure, renegotiate where appropriate, or exercise rights established by the applicable contract.
14. CREATIVE AND ALTERNATIVE TRANSACTION STRUCTURES
Depending upon the property and the parties' objectives, TUNGSTEN-OAK may evaluate alternative transaction structures.
These may include, where lawful and appropriate:
- Seller financing;
- Subject-to-existing-financing transactions;
- Installment arrangements;
- Lease options;
- Options to purchase;
- Novation arrangements;
- Joint ventures;
- Structured acquisitions;
- Existing-debt-related structures;
- Renovation arrangements; or
- Other negotiated transactions.
Not every structure is appropriate for every property or seller.
Alternative structures may create legal, financial, tax, lending, insurance, title, credit, servicing, and other consequences.
Property owners should obtain independent legal, tax, financial, and other appropriate advice before entering into an alternative transaction structure.
15. EXISTING FINANCING AND “SUBJECT-TO” TRANSACTIONS
A transaction involving existing financing can create additional risks and obligations.
Among other matters, an existing loan may contain a due-on-sale or transfer provision permitting the lender to exercise contractual rights after certain transfers of ownership or interests.
A transaction involving existing financing does not automatically release the original borrower from liability on the underlying debt.
The precise rights and risks depend on the loan documents, transaction structure, applicable law, lender actions, and other circumstances.
TUNGSTEN-OAK does not advise a property owner to disregard the terms of an existing loan.
Before entering such a transaction, a property owner should consider independent legal and financial advice and review the applicable loan documents.
Any applicable transaction agreement should contain the disclosures and responsibilities specific to the proposed structure.
16. SELLER FINANCING AND OTHER FINANCING
TUNGSTEN-OAK may evaluate seller-financed or other financing structures where legally permissible.
Nothing on this website constitutes:
- An approval of credit;
- A commitment to lend;
- A mortgage-loan offer;
- A guarantee of financing;
- A statement that a person qualifies for financing; or
- A commitment to a particular interest rate or financing term.
Consumer-purpose financing secured by residential property may be subject to federal and state requirements concerning lending, disclosures, loan origination, licensing, underwriting, ability to repay, servicing, interest rates, and other matters.
Any financing activity by or involving TUNGSTEN-OAK will be structured subject to applicable law and any licensing or exemption requirements.
Where an appropriately licensed third-party lender, mortgage professional, or other provider is required, that party will perform the regulated activity.
17. NOVATION AND RENOVATION STRUCTURES
A proposed novation, renovation, or similar structure may involve TUNGSTEN-OAK obtaining contractual rights relating to a property while coordinating improvements, marketing, resale, closing, or other activities pursuant to a written agreement.
The rights and obligations of each party depend entirely upon the actual transaction documents.
No website description should be relied upon as defining the terms of a particular novation or renovation arrangement.
Where brokerage, contracting, lending, property management, or another regulated service is required, such service will be performed through appropriately qualified or licensed parties where required by law.
18. JOINT VENTURES
TUNGSTEN-OAK may enter into joint ventures or other collaborative arrangements with property owners, investors, buyers, real-estate professionals, or other businesses where lawful.
A joint venture is not created merely because parties discuss working together.
Any actual joint venture should be established through appropriate written documentation specifying the participants' rights, duties, economics, authority, and responsibilities.
19. REFERRALS
In some situations, TUNGSTEN-OAK may determine that another company or professional is better positioned to assist with an opportunity.
Where lawful, we may introduce or refer a person to:
- Real-estate professionals;
- Buyers;
- Investors;
- Lenders;
- Contractors;
- Attorneys;
- Property managers;
- Title or escrow providers; or
- Other service providers.
TUNGSTEN-OAK may receive compensation for a referral only where such compensation is lawful and appropriately disclosed or structured.
A referral does not constitute a guarantee or endorsement of the third party's work.
20. REAL-ESTATE AGENTS AND BROKERS
TUNGSTEN-OAK may purchase properties represented by licensed real-estate brokers or agents and may work with licensed professionals in connection with acquisitions, dispositions, listings, referrals, or other transactions.
Unless expressly agreed in writing:
- Submission of a property by an agent does not create an agency relationship with TUNGSTEN-OAK;
- Submission does not guarantee payment of a commission;
- TUNGSTEN-OAK does not assume another party's brokerage obligation; and
- Compensation to licensed professionals is subject to applicable agreements and law.
TUNGSTEN-OAK may also engage an appropriately licensed brokerage or real-estate professional when brokerage services are required.
21. REGULATED SERVICES
Real-estate brokerage, mortgage origination, lending, legal services, title services, appraisal, inspection, construction, property management, and other activities may be regulated or require licensing depending upon the jurisdiction and circumstances.
TUNGSTEN-OAK performs or arranges regulated activity only as permitted by applicable law.
Where a license is required that TUNGSTEN-OAK does not hold, the regulated service must be performed by an appropriately licensed person or entity or under an applicable lawful exemption.
22. INDEPENDENT THIRD-PARTY PROFESSIONALS
TUNGSTEN-OAK may coordinate with independent:
- Brokers;
- Agents;
- Attorneys;
- Title companies;
- Escrow providers;
- Lenders;
- Mortgage professionals;
- Inspectors;
- Contractors;
- Appraisers;
- Property managers;
- Insurance providers;
- Accountants; and
- Other service providers.
Unless expressly stated otherwise, these professionals are independent from TUNGSTEN-OAK.
TUNGSTEN-OAK does not guarantee their advice, services, licensing status, availability, work product, pricing, or performance.
You should independently evaluate any third-party professional you choose to engage.
23. TITLE, LIENS, AND OWNERSHIP
A preliminary property review does not constitute a determination that title is clear or marketable.
Transactions may require verification of matters including:
- Legal ownership;
- Mortgages;
- Deeds of trust;
- Tax liens;
- Judgment liens;
- Mechanics' liens;
- Probate matters;
- Divorce interests;
- Estate interests;
- HOA obligations;
- Easements;
- Restrictions;
- Encroachments; and
- Other title matters.
Applicable title, escrow, legal, or closing professionals may be used to review these matters as appropriate.
24. PROPERTY CONDITION
TUNGSTEN-OAK may evaluate property condition for investment purposes.
Unless expressly stated in a separate professional engagement, our evaluation is not:
- A licensed inspection;
- An engineering evaluation;
- An environmental assessment;
- A mold assessment;
- A structural certification;
- A code-compliance inspection; or
- A warranty concerning the property.
Property-specific due diligence may identify conditions not apparent during preliminary discussions.
25. NO TAX OR LEGAL ADVICE
Real-estate transactions can create significant tax and legal consequences.
These may include issues relating to:
- Capital gains;
- Installment sales;
- Debt relief;
- Depreciation;
- Basis;
- Inheritance;
- Estate planning;
- Entity ownership;
- Existing financing;
- Transfer taxes; and
- Other federal, state, or local obligations.
TUNGSTEN-OAK does not provide legal or tax advice merely by proposing or participating in a transaction.
You should consult your own qualified advisers.
26. NO INVESTMENT OR SECURITIES OFFER THROUGH THIS PAGE
Descriptions of TUNGSTEN-OAK's investment activities, portfolio strategy, lending activities, capital strategy, or joint ventures do not by themselves constitute:
- An offer to sell securities;
- A solicitation to purchase securities;
- Investment advice;
- An investment recommendation; or
- A guarantee of returns.
Any transaction involving securities, investment interests, or externally raised investment capital must be governed by appropriate separate documentation and applicable law.
27. ARTIFICIAL INTELLIGENCE AND TECHNOLOGY
TUNGSTEN-OAK may use artificial intelligence, automated workflows, property-data services, and other technology to assist with:
- Property intake;
- Data extraction;
- Property research;
- Comparable-sale analysis;
- Preliminary underwriting;
- Market analysis;
- Document processing;
- Communication management; and
- Internal decision support.
Technology-assisted outputs may contain errors and should not be treated as licensed appraisals, legal opinions, inspections, final underwriting approvals, or binding transaction commitments.
Material transaction terms remain subject to appropriate review and executed documentation.
28. AFFILIATES AND DESIGNATED TRANSACTION ENTITIES
TUNGSTEN-OAK may conduct a particular transaction through an affiliate, subsidiary, joint venture, special-purpose entity, nominee, assignee, or other designated entity where legally appropriate.
The actual purchasing, selling, lending, holding, or contracting entity will be identified in the applicable transaction documentation.
Use of an affiliated or designated entity does not change the written rights and obligations established by the governing transaction documents.
29. FAIR HOUSING AND EQUAL OPPORTUNITY
TUNGSTEN-OAK supports equal housing opportunity.
We do not discriminate in covered housing-related activities on the basis of:
- Race;
- Color;
- Religion;
- Sex;
- Familial status;
- National origin;
- Disability; or
- Any other characteristic protected by applicable federal, state, or local law.
Transaction decisions may legitimately consider non-protected property and business factors such as property location, condition, title, valuation, projected costs, investment criteria, financing, market conditions, transaction structure, and other lawful considerations.
30. NO DISCRIMINATION FOR REQUESTING ACCOMMODATION
Where applicable law requires reasonable accommodation or accessible communication in connection with our services or website, TUNGSTEN-OAK will make reasonable efforts to address appropriate requests.
Accessibility-related requests may be submitted to:

Our separate Accessibility Statement provides additional information regarding our digital accessibility efforts.
31. STATE-SPECIFIC REQUIREMENTS CONTROL
Real-estate laws differ substantially among states and local jurisdictions.
Depending upon the property's location, applicable law may impose requirements concerning:

- Seller financing;
- Mortgage licensing;
- Foreclosure-related transactions;
- Distressed-property transactions;
- Equity purchases;
- Advertising;
- Recording;
- Title practices; or
- Other real-estate activity.
Where state or local law requires a specific disclosure, notice, contract term, license, procedure, or restriction, that requirement controls over general website language.
TUNGSTEN-OAK may decline, modify, or restructure a proposed transaction if necessary to comply with the law applicable to the property.
